These Terms and Conditions (“Terms”) govern the access to and use of the DigiAssess platform and services provided by DigiVal IT Solutions (“DigiAssess”, “we”, “our”, or “us”). By accessing or using the DigiAssess platform, educational institutions and authorized users agree to be bound by these Terms.

1. Scope of Use

DigiAssess is a digital assessment management platform designed for educational institutions to plan, conduct, evaluate, and analyze academic assessments. The platform supports multiple assessment formats, including online, offline, and hybrid examination models.

Access to the platform is granted only to authorized users such as students, faculty members, administrators, and assessment coordinators, as designated by the institution. Unauthorized access or use of the platform is strictly prohibited.

2. Institutional Responsibility

The institution using DigiAssess is solely responsible for the configuration and governance of its academic environment within the platform. This includes defining academic structures, setting assessment rules, managing grading policies, and ensuring compliance with applicable educational regulations.

Institutions are also responsible for managing user roles, permissions, and communication of assessment guidelines to all participants. DigiAssess provides the technological infrastructure to support these activities but does not control or validate institutional academic decisions.

3. User Responsibilities

All users are required to use the platform in accordance with institutional policies and applicable laws. Users must maintain the confidentiality of their login credentials and ensure that their access to the platform is not shared or misused.

Students are responsible for ensuring that their devices, internet connectivity, and testing environments meet the requirements communicated by the institution. DigiAssess shall not be responsible for issues arising from user-side technical limitations.

4. Assessment Integrity and Proctoring

DigiAssess provides advanced tools to support exam integrity, including authentication mechanisms, facial recognition, and AI-based proctoring. These tools are designed to identify suspicious activities and ensure fair examination conditions.

However, DigiAssess acts only as an enabling platform. All final decisions regarding academic misconduct, evaluation outcomes, or disciplinary actions are the sole responsibility of the institution. The platform does not guarantee the complete elimination of malpractice and shall not be held liable for undetected violations or disputed outcomes.

5. Data Ownership and Usage

All data processed within DigiAssess, including academic records, assessment results, and user information, remains the property of the institution. DigiAssess processes this data solely for the purpose of delivering platform functionality and supporting academic operations.

The platform does not use institutional data for any commercial purposes outside the agreed scope of service.

6. System Availability and Performance

DigiAssess is designed to provide a reliable and scalable assessment environment across different modes of operation, including online and offline exams. However, system availability may be impacted by factors beyond DigiAssess’s control, such as internet connectivity issues, device failures, or third-party service disruptions.

DigiAssess provides the platform on an “as-is” and “as-available” basis without warranties of any kind, whether expressed or implied. Institutions are advised to plan assessments with appropriate contingency measures.

7. Technical Dependencies

The performance of DigiAssess may depend on external factors, including network infrastructure, hardware devices, browser compatibility, and third-party integrations. Institutions and users are responsible for ensuring that their technical environments meet the required standards for smooth operation.

DigiAssess shall not be liable for disruptions caused by external technical dependencies.

8. Limitation of Liability

To the maximum extent permitted by applicable law, DigiAssess’s total aggregate liability arising out of or in connection with the use of the platform shall not exceed the total fees paid by the institution in the preceding twelve (12) months.

This includes, but is not limited to:

  • Academic decisions based on assessment results
  • Data loss or delays caused by external systems
  • Disruptions due to internet or infrastructure failures
  • User errors or misuse of the platform
  • Any failure to detect or prevent academic misconduct

Institutions remain responsible for validating all assessment outcomes before final use.

9. Indemnification

The institution agrees to indemnify and hold harmless DigiAssess from any claims, liabilities, damages, or losses arising from misuse of the platform, violation of these Terms, or failure to comply with applicable laws, institutional policies, or academic regulations. The indemnity obligations shall survive termination of these Terms.

10. Data Security Responsibilities

DigiAssess implements security measures to protect data integrity and confidentiality. However, institutions and users share responsibility for maintaining security by ensuring proper access controls, secure credentials, and appropriate device usage.

11. Third-Party Integrations

DigiAssess may integrate with institutional systems such as ERP, Student Information Systems (SIS), or Learning Management Systems (LMS). The institution is responsible for ensuring that such integrations comply with its internal data governance and security policies.

DigiAssess is not responsible for issues arising from third-party systems or integration failures.

12. Force Majeure

DigiAssess shall not be held liable for any failure or delay in performance resulting from events beyond reasonable control, including but not limited to natural disasters, cloud infrastructure outages, cyber incidents, government restrictions, or widespread internet failures.

13. Platform Updates and Modifications

DigiAssess reserves the right to update, enhance, or modify platform features and functionalities to improve performance, security, and compliance. Such updates may be implemented without prior notice where necessary.

14. Termination of Access

Access to DigiAssess may be suspended or terminated:

  • If these Terms are violated
  • Upon request by the institution
  • Upon termination of the service agreement

Upon termination, access to the platform may be restricted, and data handling will be governed by institutional policies.

15. Suspension Rights

DigiAssess reserves the right to suspend or restrict access to the platform immediately, without liability, where necessary to:

  • Maintain system security
  • Prevent misuse 
  • Comply with legal obligations

16. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of the Dubai International Financial Centre (DIFC). Any disputes arising in connection with these Terms shall be subject to the jurisdiction of the competent courts in the DIFC, unless otherwise agreed in writing.

17. Updates to Terms

DigiAssess reserves the right to update these Terms periodically to reflect changes in legal requirements, platform capabilities, or operational practices. Continued use of the platform constitutes acceptance of the updated Terms.
